Membership Information Subject to the rules and regulations of the Association pertaining to membership, membership in the Association shall be as follows: Active Member Any person, firm or corporation engaged in the production, transportation or sale of LP-gas or engaged in the manufacture, assembling or marketing of LP-gas utilization systems, containers, equipment or appliances designed for the utilization of LP-gas. Active Members shall be classified by the Board of Directors of the Association into the following categories according to their specialized business interests: Associate Member [ Application Form ] Any person, firm, corporation or association not otherwise qualifying as an Active Member who is interested in the purposes of the Association. Those Active Members who offer to the Canadian market for sale, rent or lease directly or through agents, end use products or services used by the LP industry to manufacture, process, odourize, measure, handle, store or consume LP-gas. Producers [ Application Form ] Those Active Members who produce LP-gas at refineries or natural gas processing plants and/or who make such production available for distribution beyond the source of production, or those who manufacture products produced from LP-gas. Retail Marketers [ Application Form ] Those Active Members who are engaged in selling LP-gas directly to ultimate consumers or indirectly through distributors and/or dealers. Transporter [ Application Form ] Those Active Members who offer to the Canadian market for sale, rent or lease directly or through agents, end use products or services used by the LP industry to transport LP-gas. Wholesale Marketers [ Application Form ] Those Active Members whose business is primarily the purchase of bulk quantities of LP-gas for resale in either tank trucks, rail cars or via pipeline to the export or Canadian domestic market. Employee Member Any individual employed by an Active or Associate Member of the Association. Honorary Member Any individual who through their personal efforts, rendered some outstanding services to the LP-gas industry. Admission to Membership Application for membership in the Propane Gas Association of Canada shall be made in writing on a form approved by the Board of Directors. It is understood that through membership no Member is pledged to any course of action. Accredited Representative Each Active Member and Associate Member shall appoint an accredited representative and alternate, and such accredited representative, or in his or her absence his or her alternate, shall be deemed to be authorized to act on behalf of such member in all things, matters and dealings pertaining or relating to the Association and its affairs. An Active Member or Associate Member shall give the Association written notice of its accredited representative or alternate which notice is irrevocable until the Association receives further written notice appointing an accredited representative or alternate in place of those noted in the Association’s records pursuant to a prior notice. An accredited representative and alternate must be full-time employees of the Active or Associate Member. Only Active Members may vote at annual and special meetings of the Association including without limitation the election of the Association’s Board of Directors. An Active Member is entitled to only one vote at any annual or special meeting of the Association which vote shall be cast only by its accredited representative of record or in his or her absence the alternate of record as the duly authorized attorney and proxy of the Active Member. The membership of any Active, Associate or Employee Member shall terminate:
